Requirements:

Educational Background: CS qualification (LLB or equivalent legal degree in addition will be preferred)
Experience: 15-20 years in corporate secretarial and legal roles, preferably in the manufacturing sector.
Skills: Strong knowledge of corporate laws, excellent communication, and leadership abilities.
Leadership: Experience of leading team with strong administration and communication skill.

Key Responsibilities:

Corporate Governance:
- Convene and conduct Board, Committee, and General Meetings.
- Ensure compliance with the Companies Act, 2013, SEBI regulations, and other corporate laws.
- Maintain statutory records and filings.
Legal Advisory:
- Provide legal counsel on corporate, commercial, and regulatory matters.
- Review and draft contracts, agreements, and other legal documents.
- Manage litigation and liaise with external legal counsel.
Compliance Management:
- Develop and implement compliance strategies.
- Monitor adherence to corporate governance frameworks.
- Ensure compliance with stock exchange and SEBI listing requirements.
Risk Management:
- Identify and mitigate legal and compliance risks.
- Strengthen the risk assurance framework.
Strategic Support:
- Act as a trusted advisor to the Board and senior leadership.
- Support mergers, acquisitions, and other strategic initiatives.
